These Terms of Use ("Terms") govern your access to and use of indindi (the "Service"), operated by Liam Loughnane ("we", "us", or "our"). By creating an account, joining a group, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. What indindi Is (and Isn't)

indindi is a private prediction game for friends and small groups. All activity on the platform uses virtual points only. There is no real-money betting, wagering, or gambling on indindi. Virtual points have no monetary value whatsoever and cannot be purchased, sold, redeemed, or exchanged for real-world currency, goods, or services. The Service is intended purely for entertainment and social competition among friends.

2. Eligibility

You must be at least 18 years old to use the Service. By creating an account or using the Service, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms. We rely on app store age ratings and your representation of age; however, we reserve the right to terminate accounts if we discover a user does not meet the age requirement.

You may use the Service only if you are not prohibited from doing so under applicable law in your jurisdiction.

3. Your Account

You are responsible for:

  • Maintaining the confidentiality and security of your account credentials
  • All activity that occurs under your account
  • Providing accurate information when creating your account

You agree to notify us immediately if you suspect any unauthorised access to your account.

4. Groups and Markets

  • Group admins may configure markets, resolve outcomes, invite members, and manage group settings.
  • You acknowledge that group admins have discretion over how markets are phrased and when they are resolved within the mechanics provided by the Service.
  • Market resolutions by group admins are final within the context of the game.
  • We are not responsible for disputes between group members regarding market outcomes.

5. Virtual Points

  • Points in indindi have no monetary value and cannot be bought, sold, or exchanged for real-world currency or items of value.
  • Points exist solely for entertainment and in-game competition.
  • We may adjust points, leaderboards, or historical records if we detect abuse, bugs, or errors in the system.
  • You have no ownership rights in virtual points, and they may be modified or reset at our discretion.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation
  • Harass, threaten, intimidate, or abuse other users
  • Create markets that are defamatory, hateful, discriminatory, or otherwise harmful
  • Create markets relating to self-harm, violence, exploitation, illegal activities, or other topics inappropriate for a social game
  • Impersonate another person or entity
  • Attempt to reverse engineer, interfere with, or disrupt the Service or its infrastructure
  • Use automated scripts, bots, or other means to access the Service without authorisation
  • Circumvent any access controls or usage limits

We reserve the right to remove content and suspend or terminate accounts that violate these rules.

7. User Content

You retain any intellectual property rights in content you submit to the Service (such as market questions). By submitting content, you grant us a non-exclusive, worldwide, royalty-free licence to use, display, and distribute that content solely for the purpose of providing and improving the Service.

You are solely responsible for content you create and must ensure it does not infringe the rights of others.

8. Intellectual Property

indindi, including its name, logo, design, and underlying software, is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of any part of the Service without our prior written permission.

9. Account Deletion

You may delete your account at any time through the profile settings in the app. Account deletion is permanent and immediate. Once deleted, your account data cannot be recovered. Certain anonymised or aggregated data may be retained for analytical or legal purposes.

10. Service Changes and Availability

We may update, modify, suspend, or discontinue parts of the Service at any time without prior notice. We aim to keep the Service available but do not guarantee uptime or that the Service will be free from errors or interruptions.

11. Third-Party Services

The Service may integrate with or rely on third-party services (such as authentication providers, hosting, and push notifications). Your use of such services is subject to their respective terms and privacy policies. We are not responsible for the availability or conduct of third-party services.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, secure, or that it will meet your expectations.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

  • Your access to or use of (or inability to access or use) the Service
  • Any conduct or content of other users
  • Unauthorised access, use, or alteration of your account or content
  • Any other matter relating to the Service

Our total liability for any claims arising from or relating to the Service shall not exceed the amount you paid us (if any) in the 12 months preceding the claim.

14. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of another party.

15. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, if we reasonably believe you have violated these Terms or are misusing the Service. Upon termination, your right to use the Service ceases immediately.

16. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of Austria, without regard to its conflict of law principles. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Austria.

If you are a consumer in the European Union, you may also have rights under the laws of your country of residence.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede any prior agreements.

19. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and may notify you through the Service or by other means. By continuing to use the Service after changes take effect, you agree to the revised Terms.
